Hansen Technologies Limited (Hansen), announced that it has agreed to sell, as a going concern, its NSW based IT Outsourcing business, represented by the subsidiary Hansen Professional Services Pty Ltd (HPS), to Datacom Investments Pty Ltd. for a cash consideration of $10.5 million.
Hansen will continue to own and operate its grade-A data centres located in Melbourne as well as its non NSW based IT outsourcing and support services business.
The change of ownership is anticipated to be effective from 1 September 2007 and will result in HPS's Sydney data centre and its team of 75 systems support professionals being integrated into Datacom's NSW IT services business. Commenting on the sale, Mr Andrew Hansen, CEO Hansen Technologies said, "We have this year been reviewing the inherent value proposition of each of our business units. In respect to our outsourcing business we determined that it is fundamental for the Hansen Group to maintain our Melbourne data centre facilities management and IT outsourcing services capabilities. This business unit is also integral to our core Utility/Telco billing and Superannuation administration software solutions. Although the NSW Outsourcing business was recognised as complementary it was judged not to be integral to our core business.
The realisation of our investment in HPS provides the opportunity to refocus our management as well as freeing up financial resources to invest further in our core business areas without sacrificing our basic business proposition.
I believe the sale of HPS to Datacom represents a unique combination of mutually beneficial attributes for both companies as well as the other key strategic stake holders. It is my expectation that the HPS customers will benefit from Datacom's demonstrable commitment to and experience in IT outsourcing and facilities management. The HPS staff should also benefit from being part of a larger organisation focused on the specific areas of HPS business activities."
